These Terms of Use ("Terms") are a legal agreement between you and Sentinest, Inc. ("Sentinest," "we," "us," or "our") and govern your access to and use of our website at sentinest.ai, our mobile applications, and our related services (together, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, please do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.

2. Beta services

Sentinest is currently offered as a private beta and may be free for early users. Beta Services are provided on an "as is" and "as available" basis, may contain bugs or errors, and may change, be suspended, or be discontinued at any time without notice. Features described on our website may not all be available, and your feedback may be used to improve the Services.

3. Your account

To use certain features, you may need to join our waitlist or create an account. You agree to provide accurate information and to keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly if you believe your account has been compromised.

4. Acceptable use

You agree not to:

Use the Services in violation of any applicable law or regulation;
Use the Services to analyze conversations or data you do not have the right or consent to access;
Attempt to reverse engineer, decompile, or otherwise derive the source code or models behind the Services, except where permitted by law;
Interfere with, disrupt, or attempt to gain unauthorized access to the Services or related systems;
Use the Services to build a competing product, or to scrape or harvest data from the Services;
Misrepresent your identity or impersonate any person or entity;
Use the Services in any way that could harm, disable, or impair them or interfere with another user's use.

5. Nature of the Services; no guarantee

Sentinest analyzes conversations and produces a Manipulation Risk Index (MRI) score and related signals to help you assess potential manipulation or fraud. The MRI score is a decision-support tool, not a guarantee. It may not detect every scam or manipulation attempt, and it may flag legitimate conversations.

You are responsible for your own decisions. Sentinest does not provide legal, financial, or professional advice, and the Services are not a substitute for your own judgment or for the advice of a qualified professional. Always exercise caution before sending money or sharing sensitive information, regardless of any score.

6. Intellectual property

The Services, including all software, models, text, graphics, logos, the Sentinest name, the MRI score methodology, and other content, are owned by Sentinest or our licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial use. We reserve all rights not expressly granted.

7. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using the Services, you acknowledge that you have read the Privacy Policy.

8. Third-party services

The Services may connect to or rely on third-party platforms (such as messaging services) and may contain links to third-party websites. We do not control and are not responsible for those third parties, their terms, or their privacy practices. Your use of any third-party service is at your own risk and subject to that third party's terms.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY SCORE OR RESULT WILL BE ACCURATE OR COMPLETE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SENTINEST AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE LIMITATIONS MAY NOT APPLY TO YOU.

11. Indemnification

You agree to indemnify and hold harmless Sentinest and its officers, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Services — including analyzing conversations or data you do not have the right or consent to access — or your violation of these Terms or of any applicable law.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or if we discontinue the Services. Provisions that by their nature should survive termination (including ownership, disclaimers, limitations of liability, and governing law) will survive.

13. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.

14. Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. You agree that any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, unless otherwise required by applicable law.
